Job Summary

This position evaluates and helps to mitigate risk for the organization in a limited discreet area or function. This role ensures consistency in the legal and business positions taken by UPS and supports the fact finding/evaluation of legal matters. The incumbent reviews applicable laws, policies/regulations to determine positions that best protect the company and communicates with business units to support legal compliance and consistency. This role may manage Outside Counsel (OC) in representing UPS.


  • Prepares master service agreements to customize UPS standard contracts for customer review; reviews and redlines customers' paper
  • Evaluates customers' terms/conditions of contract and drafts responses to customers' contract revisions to identify gaps and offer alternate language while mitigating UPS risk
  • Sets pre-negotiation objectives and uses negotiation skills to reach those objectives
  • Engages in contract discussions with customers and takes the lead role to negotiate open contract issues in person and via teleconference
  • Coordinates with internal stakeholders on differing terms/conditions from customers to resolve conflicting terms/conditions
  • Advises internal stakeholders of open contract issues to determine resolutions and finalize contracts
  • Manages the contractual documentation revision process using either UPS forms or customer documents to mitigate risks
  • Evaluates factual circumstances surrounding legal matters (e.g., course of events, causes of violations, agreements, etc.) to gain a better understanding and to ensure accuracy of the facts
  • Assists negotiation of resolutions to establish solutions for involved parties and to protect UPS
  • Documents legal resolutions to provide written records for involved parties
  • Coordinates with OC in the representation of the company’s position to ensure a consistent, accurate and complete explanation/defense of UPS’s legal position
  • Provides relevant training and coaching for employee groups


  • Uses multiple strategies to persuade others and identifies/removes barriers to agreements
  • Wins concessions effectively and provides input into future negotiation processes or strategies
  • Prioritizes complex, material or multi-functional risks to the enterprise; coordinates and provides governance over risk treatments
  • Proficient with Microsoft Office Suite (Word, Excel, Power Point and Access)
  • Experience working in a law firm environment or a corporate Legal Department
